Terms of Service

Please read these Terms of Service carefully before using Schedualy. By creating an account or using the service, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Schedualy Inc.("Schedualy", "we", "us", or "our"), governing your access to and use of the Schedualy service available at schedualy.com.

By creating an account, starting a trial, or otherwise using Schedualy, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use the service.

2. Description of Service

Schedualy is a subscription-based AI calendar assistant that connects to your Google Calendar or Outlook and enables you to create, modify, query, and manage calendar events using natural language. The service is accessible through the web application at schedualy.com and, optionally, through a Telegram bot integration.

Key features include natural-language event scheduling, smart reminders, and daily agenda digests. We reserve the right to modify, add, or remove features at any time. We will notify users of material changes to the service.

3. Eligibility

To use Schedualy you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract under the laws of your jurisdiction; and
  • Not be prohibited from using the service under applicable law.

By using Schedualy you represent and warrant that you meet all of these requirements.

4. Account Creation and Security

You must register with a valid email address and choose a secure password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorised by you.

You must notify us immediately at support@schedualy.com if you suspect any unauthorised access to or use of your account. We are not liable for any loss arising from unauthorised use of your account credentials.

5. Subscription, Billing, and Trials

Plans

Schedualy offers two paid plans:

  • Pro — $9 USD/month. Includes a 7-day free trial. A valid payment method is required at signup. Your card will be charged on the 8th day unless you cancel before then.
  • Pro+ — $15 USD/month. No trial period. Your card is charged immediately upon subscribing.

Automatic renewal

Subscriptions renew automatically on a monthly basis until cancelled. You will receive an email receipt for each charge. By subscribing, you authorise Schedualy to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time via Settings → Billing. Cancellation takes effect at the end of your current billing period. You will retain access to the service until that date. Cancellation is not retroactive and no partial-month refunds are issued.

Refunds

Refunds are issued at our sole discretion. If you believe you were charged in error, contact us at support@schedualy.com within 7 days of the charge. We reserve the right to issue pro-rated account credits in lieu of cash refunds.

Price changes

We will provide at least 30 days' advance notice before increasing subscription prices. Your continued use of the service after the new price takes effect constitutes acceptance of the new pricing. If you do not accept the price change, you may cancel before the effective date.

Failed payments

If a payment fails, we will notify you by email. Your account may be suspended or downgraded until payment is successfully processed. We are not responsible for any loss of access or data resulting from a failed payment.

6. Calendar Integration

By connecting your Google Calendar or Outlook you authorise Schedualy to read and write calendar events on your behalf using the OAuth 2.0 permissions you explicitly grant. This authorisation is stored as an encrypted refresh token and used solely to fulfil your requests within the service.

You may revoke this authorisation at any time via Settings → Integrations or directly through your Google account permissions. Revoking access will disable calendar-dependent features of Schedualy.

You represent and warrant that you have the right to grant Schedualy access to the Google Calendar or Outlook accounts and calendars you connect.

7. Telegram Integration

Linking your Telegram account is entirely optional. To do so, you must generate a linking code in Settings → Integrations and send it to the Schedualy bot via Telegram. This constitutes your explicit consent to receive assistant messages and reminders in that Telegram chat.

You may unlink your Telegram account at any time via Settings → Integrations. Telegram is a third-party platform operated independently by Telegram FZ-LLC and is subject to Telegram's own Terms of Service and Privacy Policy. Schedualy is not responsible for Telegram's practices.

8. Acceptable Use

You agree not to:

  • Use Schedualy for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorised access to our systems, other users' accounts, or any related infrastructure;
  • Use automated scripts, bots, or other means to abuse the chat interface or circumvent usage limits;
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the service;
  • Resell, sublicense, or transfer access to the service to any third party;
  • Submit content that is harassing, defamatory, obscene, or that infringes any third-party intellectual property or privacy rights;
  • Interfere with or disrupt the security, integrity, or performance of the service or its infrastructure.

Violation of this section may result in immediate suspension or termination of your account without refund.

9. Intellectual Property

Schedualy, including its name, logo, design, software, and all associated intellectual property, is owned by Schedualy Inc. and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the service.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use Schedualy for your personal, non-commercial calendar management purposes in accordance with these Terms.

You retain full ownership of your personal data — your calendar events, conversations, and settings. You grant Schedualy a limited licence to process your data solely to deliver and improve the service as described in our Privacy Policy.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Schedualy disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be error-free, uninterrupted, or always available. AI-generated assistant responses may occasionally contain errors or inaccuracies. You should always verify important calendar events independently before relying on them. Schedualy is not responsible for missed appointments, scheduling conflicts, or any other consequences arising from errors in AI-generated content.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Schedualy Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost data, loss of goodwill, or service interruption.

In no event shall our total aggregate liability to you for all claims arising from or related to these Terms or your use of the service exceed the greater of: (a) the total amount you paid to Schedualy in the three months immediately preceding the claim, or (b) CAD $50.

We are not liable for any failures, outages, or errors caused by third-party services including Google, Stripe, Telegram, Resend, OpenAI, or Vercel.

12. Indemnification

You agree to indemnify, defend, and hold harmless Schedualy Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your use of the service in a manner not authorised by these Terms; or (c) your violation of any applicable law or the rights of any third party.

13. Termination

By you

You may terminate your account at any time by cancelling your subscription via Settings → Billing and requesting account deletion via Settings → Account. Account deletion triggers deletion of your personal data in accordance with our Privacy Policy, subject to legally required retention periods.

By Schedualy

We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or failed to pay amounts owed. We may discontinue the service entirely with 30 days' advance notice, in which case pro-rated refunds for unused paid periods may be issued.

Effect of termination

Upon termination, your right to access and use the service ceases immediately. Sections 9, 10, 11, 12, and 14 of these Terms survive termination and remain in full force.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. You agree that any dispute arising from or relating to these Terms or your use of the service shall be resolved exclusively in the courts of Quebec, Canada, and you consent to the personal jurisdiction of such courts.

Notwithstanding the foregoing, if you are a consumer located in the European Economic Area, you retain any mandatory consumer protection rights granted to you under the laws of your country of residence, which cannot be waived by contract.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' advance notice of material changes via email or an in-app notice. The effective date at the top of this page reflects the version currently in force.

Your continued use of Schedualy after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must cancel your subscription and stop using the service before the effective date.
